Terms of Service – Spivel AI

These Terms of Service (“Terms”) govern your access to and use of the services provided by Spivel AI (“Company,” “we,” “us,” or “our”), including but not limited to AI voice automation, call handling, analytics, and related technologies (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms.
1. Services
Spivel AI provides AI-powered communication tools designed to assist businesses in handling inbound and outbound communications, including but not limited to call answering, appointment scheduling, lead qualification, and sales assistance.
The Company does not guarantee specific results, including but not limited to revenue increases, conversion rates, or business outcomes.
2. Eligibility
You must be at least 18 years old and have the authority to bind your business to these Terms.
3. User Obligations
You agree to:
- Use the Services in compliance with all applicable laws and regulations
- Obtain all necessary consents for call recording and data processing
- Provide accurate and complete information
- Not use the Services for unlawful, deceptive, or harmful activities
4. AI System Disclaimer
The Services utilize artificial intelligence and automated systems which may:
- Generate inaccurate, incomplete, or misleading outputs
- Misinterpret user input or intent
- Require human oversight and validation
You acknowledge and agree that:
- The Services are provided as a tool and not as professional advice
- You are solely responsible for verifying outputs and decisions made based on the Services
5. Payment Terms
- Services are billed on a subscription or contractual basis
- All payments are non-refundable unless required by law
- Failure to make timely payments may result in suspension or termination of Services
6. Data Processing & Call Recording
By using the Services, you consent to the collection, recording, transcription, and analysis of communications.
You are solely responsible for ensuring compliance with all applicable call recording and privacy laws, including obtaining consent from end users where required.
7. Communications Consent (Calls & SMS)
By providing your phone number, you agree to receive calls and text messages from Spivel Voice, including automated, pre-recorded, and AI-generated communications for marketing and service purposes. Message and data rates may apply. You can opt out at any time by replying STOP or contacting us.
8. Security & Compliance
Spivel AI implements commercially reasonable security measures, including:
- End-to-end encryption (in transit and at rest)
- Secure cloud infrastructure
- Access controls and monitoring
Spivel AI maintains practices aligned with SOC 2 Type II standards and offers HIPAA-ready infrastructure with Business Associate Agreements (BAAs) available upon request.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Spivel AI shall not be liable for any:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Missed calls, failed connections, or system interruptions
- Errors or decisions made based on AI-generated outputs
In no event shall the Company’s total liability exceed the amount paid by you to the Company in the thirty (30) days preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Spivel AI from any claims, damages, liabilities, costs, or expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your failure to comply with applicable laws or regulations
11. Service Availability
The Services are provided on an “as-is” and “as-available” basis. We do not guarantee uninterrupted or error-free operation.
12. Termination
We reserve the right to suspend or terminate access to the Services at our sole discretion for violations of these Terms.
13. Modifications
We may update these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
